Dear Internet Society and Public Interest Registry leadership,
We write to you during a global pandemic that has impacted every facet of work and communities around the world. A pandemic that has affirmed the need for the types of services, support and information provided by nonprofits and scientific and news websites that use .ORG domains.
We write to you as massive numbers of people throughout the U.S. and many other countries are protesting against police brutality and white supremacist policies and systems. Community organizing work that is led by Black leaders and their organizations, movements, and campaigns use .ORG domains to inform, engage, and call for change.
We write to you because the protections needed for the .ORG top-level domain are still unmet, leaving vulnerable the organizations working in society’s most critical areas of service and change.
Background
On November 13, 2024, Internet Society (ISOC) and the Public Interest Registry (PIR) — the operator of the .ORG domain and its sole member organization — announced their intention to sell the .ORG domain to a hitherto unknown private equity firm for $1.1 billion. This was announced as a “new era of opportunity” for .ORG.
The nonprofits and community-based organizations that rely on .ORG as a domain run by and for nonprofits were outraged. A lanter 专业版安卓破解版 sent on November 22, 2024, called for the sale to be stopped. This grassroots campaign to save .ORG quickly grew to global significance. It now includes 871 organizations and over 27,000 individuals from around the world, from African Freedom of Expression Exchange (AFEX) to YWCA. It is the largest coalition of nonprofits ever assembled in support of a voice for nonprofit organizations within .ORG.
On April 30, 2024, the ICANN Board responded to the groundswell of opposition by rejecting the change of control of the .ORG domain. ISOC and PIR now appear to want to continue as if nothing happened, saying that .ORG is “not for sale.”
More Protections Needed
While we are pleased that .ORG is not being sold to Ethos Capital, there’s nothing in their recent announcement that addresses the unilateral decision-making that led to the ISOC Board of Directors deciding in secrecy over a matter of weeks to sell the .ORG domain.
The SaveDotOrg coalition letter is clear: decisions affecting .ORG must be made with the consultation of the NGO community, overseen by a trusted community leader. Trust is earned, not given. And once lost, it must be earned anew. During the effort to sell .ORG, ISOC leadership repeatedly denied that it was bound by commitments to protect the public interest that ISOC explicitly made to the nonprofit community in 2002, and which ICANN ultimately upheld. They repeatedly described the .ORG registry as a commodity and a business to be disposed of at will. ISOC made no effort to conduct its own community consultations, and even disregarded the significant disapproval from many of its own chapters.
Meanwhile, PIR and ISoc actively supported Ethos Capital in standing up “community engagement” events that were in fact nothing more than a public relations campaign, offering no meaningful dialogue with the community.
These actions and the leadership behind them remain a matter of serious concern to those who rely on .ORG as a stable and secure online home for nonprofit organizations around the world. These breaches of trust make it clear that stronger accountability measures are necessary for maintaining the long-term health of .ORG, even without a change in ownership. The commitments that ISOC made to the world in 2002 when it was selected to operate .ORG by ICANN should be clearly updated and reinforced within the .ORG Registry Agreement.
As we stated in our November 22, 2024 letter, ISOC and PIR should amend the .ORG registry agreement to include commitments to:
- Respect human rights, including privacy and freedom of expression, in policy and practice, including by complying with the UN Guiding Principles on Business & Human Rights;
- Commit to avoiding censorship, including by implementing domain suspension policies that uphold the nonprofit community’s values and protect nonprofits from their abuse by allowing domain suspensions only for narrow, well-defined categories of harmful conduct; and
- Ensure affordability and fair pricing, including by committing to maintaining .ORG registration fees at or below the current level.
In order to build trust, ISOC and PIR should take the following actions:
- Conduct a transparent, independent, third-party review of
- The process, actions, and decision points that led to the sale’s initiation, proposal, evaluation, and approval, and
- The processes, actions, and decision points after the sale was announced, including specifically:

- Failures in due diligence on the sale’s human rights impacts, including with regard to the harm the sale posed to the NGO community.
- Report the findings of that review to the NGO community.
- Engage in robust, inclusive consultations with the NGO community to amend ISOC and PIR processes, policies, governing structures, and any other structural or cultural challenges surfaced in the above review, in order to ensure .ORG users have a meaningful say in the governance and decision-making of both organizations regarding all matters that impact or influence .ORG now and into the future.
We look forward to your response and your actions to ensure real protections and safeguards for the .ORG domain.
The coalition understands that the Internet Society and the Public Interest Registry want to continue to run the .ORG domain, along with the right to spend the tens of millions of dollars in revenue that NGOs provide to support and fund you every year as you choose. The question now is: what meaningful steps are you willing to take in order to earn that right?

We are thrilled to see ICANN’s leadership reject the sale of Public Interest Registry (PIR) and the .Org top-level domain.
For 20 years, .Org has been the online home for nonprofits, NGOs, and community-based groups around the world. It serves both those organizations and the public, helping navigate and support trust, information and resource sharing, and advocacy.
The current global pandemic has further illustrated the importance of nonprofit websites, as most of the world’s leading scientific and research institutions, health and safety resources, and educational services are on .Org websites. The need for reliability and security of the .Org domain is as high as it ever has been, and the proposal to convert PIR from a nonprofit to a for-profit entity and then sell it to private equity firm Ethos Capital would have jeopardized both.
We want to thank the nearly 900 organizations and the 64,000* individuals from all over the world who joined us in calling for the sale to be stopped. The collective voices made a difference.
This is not the final step needed for protecting the .Org domain. ICANN must now open a public process for bids to find a new home for the .Org domain. ICANN has established processes and criteria that outline how to hold a reassignment process. We look forward to seeing a competitive process and are eager to support the participation in that process by the global nonprofit community.
The .Org domain, the third-largest top-level domain, needs a secure and reliable steward that can prove it has the public and nonprofit sector’s interests at its core.

Non-governmental organizations all over the world rely on the .ORG top-level domain.
Decisions affecting .ORG must be made with the consultation of the NGO community, overseen by a trusted community leader. If the Internet Society (ISOC) can no longer be that leader, it should work with the NGO community and the Internet Corporation for Assigned Names and Numbers (ICANN) to find an appropriate replacement.
The 2024 .ORG Registry Agreement represents a significant departure from .ORG’s 34-year history. It gives the registry the power to make several policy decisions that would be detrimental to the .ORG community:

- The power to develop and implement Rights Protection Mechanisms unilaterally, without consulting the .ORG community . If such mechanisms are not carefully crafted in collaboration with the NGO community, they risk censoring completely legal nonprofit activities.
- The power to implement processes to suspend domain names based on accusations of “activity contrary to applicable law.” The .ORG registry should not implement such processes without understanding how state actors frequently target NGOs with allegations of illegal activity.

When ISOC originally proposed transferring management of .ORG to PIR in 2002, ISOC’s then President and CEO Lynn St. Amour promised that .ORG would continue to be driven by the NGO community—in her words, PIR would “draw upon the resources of ISOC’s extended global network to drive policy and management.” As long-time members of that global network, we insist that you keep that promise.

On June 24, 2024 leaders of the SaveDotOrg coalition, including NTEN, EFF, and Access Now, sent a letter to Internet Society and Public Interest Registry in acknowledgement that the end of the proposed sale of PIR to private equity firm Ethos Capital was only part of the original coalition's request since November 2024. Still outstanding are critical protections in the .Org domain contract. The letter also noted three critical steps ISoc and PIR need to take for building trust including a transparent, independent review, shared findings, and a collaborative process for improving governance and accountability. On June 26, 2024 Andrew Sullivan, on behalf of ISoc and PIR, sent a letter in response. The ISoc letter defers any responsibility or accountability related to protections or actions listed in the coalition's letter to a recently chartered "Governance Reform Working Group" and notes that any changes or recommendations will be considered only after the Working Group has conducted their chartered work. No timeline for the Working Group's work was included, nor was information about who is in the Working Group or how they were selected. Further, the letter from Sullivan states that PIR will continue operating as they have been without any changes.

Internet Society’s Chapter Advisory Council issued a second statement of advice to the ISoc Board (PDF), stating “We reiterate that the sale of PIR to Ethos Capital should not proceed until, unless proscribed by law, the following conditions are met, and the ISOC Board has taken into account the comments received after the information requested below is made public.” The advice was passed on April 17, 2024.

In a letter to the ICANN board and staff leadership on April 15, the US State of California's Office of the Attorney General wrote, "I urge ICANN to reject the transfer of control over the .ORG registry to Ethos Capital. The proposed transfer raises serious concerns that cannot be overlooked." The letter highlights concerns expressed about the proposed sale by the At-Large Advisory Committee and the broader community. It highlights a number of specific concerns with the proposed sale.

ICANN Founding Pres and Board Chair Write to AGs
Michael Roberts, ICANN Founding President, and Esther Dyson, ICANN Founding Board Chair, coauthored a letter April 16, 2024, to the State Attorneys General of both California and Pennsylvania. California is where ICANN is incorporated and Pennsylvania where Public Interest Registry is incorporated. The letter outlines ICANN's deviation from core principles and allowing the circumventing of ICANN's clearly defined open, competitive, multistakeholder process.
ICANN Opens 7-Day Comment Period
ICANN published PIR's recently updated Public Interest Commitments (PICs), which were received by ICANN on 7 April 2024. PIR proposes that these PICs be added to the .ORG Registry Agreement should ICANN approve the change of control request submitted by PIR. In the same post, ICANN opens a 7-day public comment period, breaking with precedent of a 30-day window for public comments.

Five United States Senators, Richard Blumenthal, Ed Markey, Elizabeth Warren, and Ron Wyden, and Representative Anna Eshoo addressed the ICANN leadership including board and staff in a March 18, 2024 detailed letter and called for them to block the sale of .ORG to private equity firm Ethos. The nine-page letter (PDF) includes the positions that Ethos and PIR have not been transparent about who is behind the plan or their business plan, that Ethos' commitment to price increase limitations is weak, and that the Stewardship Council "would be toothless."
PIR Grants ICANN Extension
Public Interest Registry has announced they have agreed to the previously requested deadline extension of April 20, 2024. ICANN requested the extension twice before, though previous responses from PIR denied the full extension. The approval today comes just days before the previous extension deadline communicated by PIR of March 20.
EFF and NTEN Respond to Ethos Capital's Announcement
In a letter to Fadi Chehadé, Erik Brooks, and Jon Nevett, SaveDotOrg campaign partners Cindy Cohn, Executive Director of Electronic Frontier Foundation, and Amy Sample Ward, CEO of NTEN, respond to Ethos Capital's announcement of "accountability initiatives" and plans for the Stewardship council. The letter states, "While you have clearly recognized that the NGO community demands accountability from its top-level domain registry, this announcement does nothing to display that accountability. Rather than instill trust, it reveals once again that you lack understanding of the NGO community’s needs and are not equipped to manage .ORG."
ISoc's Chapter Advisory Council Issues Advice to ISoc Board
Internet Society's Chapter Advisory Council issued advice to the ISoc Board (PDF), stating "The sale of PIR to Ethos Capital should not proceed unless a number of conditions are met." The letter also notes, "There is a feeling amongst chapters that ISOC seems to have disregarded community participation, failed to properly account for the potential community impact, and misread the community mindset around the .ORG TLD." The advice was passed on February 23, 2024.
Nonprofits Call for Disclosure of Financing Details of .ORG Sale
On February 21, 2024, Ethos Capital announced new or updated initiatives related to the sale of PIR. Electronic Frontier Foundation, Americans for Financial Reform, and NTEN call for disclosure of the financial details behind the $1.1B sale, asking the FTC to scrutinize the deal.

The Swiss Chapter of the Internet Society has published a statement associating the Chapter with the positions of the France and Catalonia chapters. The statement calls for the sale to be stopped until all relevant information made public and there has been a public consultation.
ICANN Requests Extension and Reinforces Oversight
ICANN previously requested an extension of their response to the proposed sale of .ORG to April 20, given the CA Dept. of Justice's request for information and the amount of time necessary for thorough review and preparation. PIR responded in a letter dated Feb 3, that they would grant an extension only to Feb 29. Further, the letter from PIR explained ICANN's purview as limited to the "security, reliability, or stability of services of the .ORG registry". ICANN responded in a letter dated Feb 13, requesting again an extension to April 20, and outlining in detail a broader scope of responsibility for ICANN's review.
ICANN Issues Questions to Internet Society
Maarten Botterman, Chair of the Board at ICANN, issued 18 questions to Internet Society via a letter addressed to Gonzalo Camarillo, the Chair of the Board at Internet Society on February 13, 2024. The questions range in content including processes employed to engage the .ORG community with respect to the proposed sale, details of other bids received, and protections for .ORG registrations included in the proposed sale's details or contracts.
France Issues Warning and Request to ICANN

Internet Society France calls for .ORG sale to be reconsidered
The Internet Society France issued a letter that calls the ISOC Board of Trustees to reconsider the sale of .ORG and open a broad consultation of the stakeholders. The letter outlines the need for changes to the bylaws and governance structures of ISoc, stating, "The Internet Society France stands ready to engage in the governance of structures that will be put in place to ensure that the voice of the .ORG community and the Internet as a whole is heard."
State of CA Department of Justice Letter Issued to ICANN
Xavier Becerra, Attorney General for the State of California, has issued a letter to ICANN outlining 35 questions to be addressed or answered related to a number of topics ranging from ICANN's role in Top Level Domain pricing and management to all communications from Internet Society and PIR related to the proposed sale to Ethos. On Jan 30, ICANN acknowledged the request (originally dated Jan 23, 2024) and gave formal notice to PIR that in order to comply with the request they will be sharing information PIR has previously designated confidential as well as an extension on the timeline ICANN has for responding to the proposed sale, pushing that deadline to April 20, 2024.

On Friday, January 24, NTEN and EFF hosted roughly 30 protesters outside of ICANN's office in Los Angeles, CA. The protesters had a banner and signs demanding the sale of PIR/.Org to Ethos Capital be stopped. For two hours, the peaceful group talked, chanted, and waited for a potential visit from staff or board to address the crowd and receive the 34,000+ combined signatures from the SaveDotOrg and Fight for the Future petitions. After the scheduled close of the protest, the ICANN full board came outside with brief remarks from Maarten Botterman, ICANN Board Chair, and response from Amy Sample Ward, NTEN CEO, including presentation of the signatures. Although ICANN staff had offered, on January 23, for protest leaders to join ICANN leaders for discussions after the protest, that offer was rescinded the morning of the protest noting that no ICANN leaders were able to meet.
National Association of State Charities Officials Urge ICANN to Consider Concerns
The Board of Directors of NASCO issued a letter to ICANN outlining concerns about the sale of .ORG to Ethos Capital including the implications of converting Public Interest Registry from a nonprofit to a for-profit with undisclosed investors and the impact of the sale on consumers and donors. They urged ICANN to allow appropriate time for regulatory authorities to review the impact of this proposed transaction.
Lawmakers Urge ICANN to Block Private Equity Firm Taking Over .ORG
US Senators Warren, Wyden, Blumenthal, and Markey, and Representatives Eshoo, and Pocan sent a letter to the leadership of ICANN urging them to block the Internet Society's proposed sale of the PIR and its contract to operate the .ORG internet domain name registry to the private equity firm Ethos Capital.

ICANN seeks more information and transparency on .org sale
Once ICANN receives a response to its request for more information, it has 30 days to provide or withhold its consent to the sale. Meanwhile, ICANN urges PIR, ISOC, and Ethos Capital to be more transparent in their communications.
